Terms of Service

Contract terms for using the RiskMapped adviser platform

Effective from 23 November 2025

By creating an account or using RiskMapped, you agree to these Terms on behalf of your organisation. These Terms are for business users only (e.g. FCA-authorised firms and their staff). Do not use the Service if you're a consumer or disagree with these Terms.

1. Who we are

In these Terms: "RiskMapped", "we", "us" = RiskMapped Limited; "Customer", "you", "your" = the organisation and its authorised users.

2. The Service

RiskMapped is a web-based platform (at riskmapped.com) that helps financial advisers:

  • Capture client and household data
  • Model financial impact of death, illness and income loss
  • Calculate protection needs and gaps
  • Generate client-ready reports

What we don't do:

  • Provide financial advice (reports are illustrative tools only)
  • Replace your professional judgement or compliance processes
  • Guarantee suitability of any advice or recommendations (you remain solely responsible)

3. Eligibility

You confirm that:

  • You're using the Service for business purposes
  • You have authority to bind your organisation
  • If regulated, you hold necessary FCA authorisations or appointed representative status

The contract is between us and the Customer organisation. Individuals accessing under your account are "Authorised Users". You're responsible for ensuring all Authorised Users comply with these Terms.

4. Account security

You must:

  • Provide accurate, current contact details
  • Give each Authorised User their own login (no sharing)
  • Keep credentials secure
  • Promptly disable access for departing staff
  • Enable two-factor authentication (strongly recommended)

You're responsible for all activity under your account.

5. Your responsibilities

You are responsible for:

  • Verifying accuracy and completeness of all data entered
  • Checking calculations, outputs and reports before use
  • Ensuring regulatory compliance (FCA rules, data protection, etc.)
  • Determining whether the Service suits your use case
  • Maintaining your firm's policies, client communications and oversight

You must not rely solely on the Service to discharge regulatory obligations.

6. Acceptable use

You must:

  • Use the Service lawfully and per these Terms
  • Have lawful basis for all data you process

You must not:

  • Access the Service through unauthorised means (scraping, circumventing controls)
  • Reverse engineer, copy or use the Service to build competing products
  • Upload malicious code, unlawful content or data you lack rights to process
  • Interfere with the Service, servers or networks
  • Misrepresent your identity, firm, authorisations or client relationships

We may suspend access immediately if you breach these Terms, pose a security risk, or may cause harm.

7. Subscriptions and payment

Free trials

  • We may offer free trials (e.g. 30 days, no credit card required)
  • Access ends automatically unless you start a paid subscription
  • We may withdraw trial offers (won't affect trials already started)

Pricing and billing

  • Subscriptions are per-user, per billing period (monthly/annual as selected)
  • Fees are payable in advance, exclusive of VAT
  • Charged via Stripe (we don't store full card details)
  • You authorise recurring charges until you cancel
  • We may change prices with reasonable notice; changes apply from next renewal

Plan changes

  • Add/remove seats or upgrade via billing portal
  • Additions take effect immediately (pro-rated charge)
  • Reductions typically apply from next billing period

Non-payment and refunds

  • Unpaid fees may result in suspended access or termination
  • Fees are non-refundable once a billing period starts (unless required by law)

8. Data protection

Roles

  • Client Data (your clients' personal data): You're the controller; we're the processor
  • Account/billing data: We're typically the controller

Our obligations as processor

We will:

  • Process Client Data only per your instructions (including via the Service)
  • Implement appropriate security measures
  • Maintain confidentiality
  • Use only approved sub-processors (e.g. cloud, email, payment, AI providers)
  • Assist with data subject requests and security incidents (at your cost where reasonable)
  • Transfer data outside UK/EEA with appropriate safeguards (e.g. standard contractual clauses)

We do not train AI models on your Client Data.

Your obligations

  • Have lawful basis for entering Client Data
  • Provide appropriate privacy notices to clients
  • Process only necessary data
  • Comply with data protection laws

Our Privacy Policy forms part of these Terms. A separate Data Processing Addendum (DPA) is available on request and will prevail over this section if agreed.

9. Confidentiality

Each party agrees to:

  • Keep the other's Confidential Information (including Client Data, non-public Service details, pricing) confidential
  • Use it only for providing/receiving the Service
  • Not disclose except as permitted or required by law

Exceptions: information that's public, previously known, lawfully received from third parties, or independently developed.

10. Intellectual property

Our rights:

  • We (and licensors) own all IP in the Service, software, algorithms, designs, RiskMapped branding
  • You get a non-exclusive, non-transferable, revocable licence to use the Service for internal business purposes during your subscription

Your rights:

  • You own Client Data and (as between us) reports generated from your data, subject to our rights in underlying software/templates
  • You grant us licence to use your data solely to operate, maintain and improve the Service (including anonymised analytics)

We do not use your data to train AI models.

11. AI and third-party features

Some features use third-party services or AI models (e.g. for drafting, summarising).

You must:

  • Treat AI-generated content as drafts only
  • Review and verify before use or sharing with clients
  • Have lawful basis before inputting sensitive/special category data into AI features

Third-party services may have additional terms. We don't warrant accuracy or appropriateness of AI/third-party content. We do not train on your data.

12. Service availability and changes

  • We'll use reasonable skill and care, but don't guarantee uninterrupted or error-free Service
  • We may perform maintenance (typically outside UK business hours where possible)
  • We may introduce, modify or withdraw features with reasonable notice for material changes
  • Support provided as described on our website (typically email during UK business hours)

13. Warranties and disclaimers

We warrant: reasonable care and skill in providing the Service.

Except as above, the Service is provided "as is". To the extent permitted by law, we exclude warranties including:

  • Merchantability, fitness for purpose, non-infringement
  • That calculations, assumptions or outputs will be accurate in every circumstance
  • That the Service will identify all risks or meet your specific requirements

You're responsible for checking and overriding assumptions where necessary (e.g. when tax bands change).

14. Limitation of liability

Nothing limits liability for:

  • Death/personal injury from negligence
  • Fraud or fraudulent misrepresentation
  • Anything that cannot be excluded by law

We're not liable for:

  • Lost profits, revenue, savings, business, contracts, goodwill or reputation
  • Data loss or corruption
  • Indirect or consequential loss (even if foreseeable)

Total liability cap: Our aggregate liability in any 12-month period is limited to total fees you paid in that period.

These limits are fair and reasonable given the Service's nature, fees and your own obligations.

15. Indemnity

You'll indemnify us against losses arising from:

  • Your breach of these Terms
  • Your misuse of the Service
  • Claims that our processing of Client Data (per your instructions) infringes third-party rights (except where we breach these Terms)
  • Regulatory fines resulting directly from your non-compliance

We'll notify you of claims and allow your participation in defence.

16. Term and termination

Term: Starts when you create account; continues until terminated.

You may terminate: Anytime via billing portal or written notice (takes effect end of current billing period).

We may terminate/suspend immediately if:

  • You materially breach these Terms (and don't remedy within 14 days where remediable)
  • You fail to pay undisputed amounts
  • Your use is unlawful, poses security risk, or could damage our reputation
  • You become insolvent

On termination:

  • Your access ceases
  • All users must stop using the Service
  • All amounts owed become immediately due

17. Data export and deletion

  • Before termination: Export any data you need using available tools
  • After termination: We may delete or anonymise Client Data per our retention policies (subject to legal obligations)
  • We're not liable for data loss after reasonable post-termination period

18. Changes to Terms

We may update these Terms (e.g. for Service, legal or business changes). Material changes take effect from your next billing period after notice via email/in-app. Continued use = acceptance. Cancel before effective date if you disagree.

19. General provisions

Entire agreement: These Terms (plus order forms, Privacy Policy, any DPA) constitute the complete agreement.

No third-party rights: Contracts (Rights of Third Parties) Act 1999 doesn't apply.

Assignment: You can't assign without our consent. We may transfer to another organisation (e.g. if selling business) without reducing your rights.

Severability: Invalid provisions don't affect remaining Terms.

No waiver: Failure to enforce doesn't waive rights.

Governing law: England and Wales law applies. English and Welsh courts have exclusive jurisdiction (except we may seek injunctive relief anywhere to protect IP/confidential information).
